UHS CEO Marc Miller on Talkspace Acquisition, Outpatient Growth, and the Future

Universal Health Services (NYSE: UHS) has completed its acquisition of digital health company Talkspace (Nasdaq: TALK), further expanding its outpatient offerings. UHS characterized the approximately $835 million deal as a strategy to provide patients with a comprehensive care continuum, ranging from acute inpatient treatment to virtual outpatient services.
Marc Miller, CEO of UHS, explained that Talkspace can serve as an entry point into UHS’s care system, with patients being referred to higher-acuity settings as needed and receiving virtual support post-discharge.
"You’re going to have the opportunity for patients earlier on to be in a UHS product, which is Talkspace, and then if they have further needs, they are going to immediately be able to be referred into one of our … intensive outpatient program[s], maybe a partial hospitalization program, or even inpatient.” – Marc Miller, UHS CEO
"And then on the back end, as they’re leaving inpatient, they’ll have all of those offerings as well. But it’s going to be streamlined in a way that doesn’t exist to them."
Shift towards Outpatient Services
The acquisition aligns with UHS’s broader shift towards outpatient services. UHS operates 119 outpatient and 346 inpatient behavioral health facilities. While the rollout of their new outpatient brand, Thousand Branches, has been slower than expected, the acquisition of Talkspace is expected to boost their telehealth services.
Miller highlighted UHS’s existing telehealth offerings but noted that this acquisition will accelerate their development.
"Our goal is to treat patients where they need to be; most people don’t need to be in an inpatient setting, which is a good thing. Unfortunately, the need for behavioral care continues to increase in this country. But there are all types of appropriate care for patients, so we want to make sure that we are able to treat any patient in the right setting."
Integration and Workforce
In addition to Talkspace’s technology platform and client base, the acquisition brings over 6,000 clinicians to UHS, many of whom currently work part-time or on contract. Miller expressed the intention to make the integrated platform user-friendly to ensure the retention of this workforce.
